AIA-Style Pay Applications

These Terms of Use and Disclaimer ("Terms") govern your use of the Pay Application Builder (the "Tool") provided by Sistered Financial Controls, LLC ("Sistered Financial," "we," "us," or "our"). By accessing, opening, or using the Tool in any way, you ("User," "you," or "your") agree to these Terms. If you do not agree, do not use the Tool.

If you use the Tool on behalf of a company or other organization, you represent that you are authorized to accept these Terms on its behalf, and "you" includes that organization.

1. No Data Storage; User Responsible for Saving Information

1.1 The Tool runs entirely within your web browser. Sistered Financial does not collect, receive, store, back up, or retain any information you enter, upload, or generate in the Tool, including schedules of values, project information, contract amounts, billing quantities, retainage, logos, or exported files (collectively, "User Data").

1.2 User Data is cleared when you close, refresh, or navigate away from the page. Sistered Financial cannot recover lost, deleted, or unsaved User Data under any circumstances.

1.3 You are solely responsible for exporting and saving your User Data, including PDF pay applications and schedule of values files, to your own local computer, file server, cloud storage, or other storage location of your choosing. Any such storage location is separate from, and not owned, operated, controlled, or endorsed by, Sistered Financial or GoDaddy.

1.4 You are solely responsible for maintaining backup copies of all User Data and exported files.

2. Data Security; Release of Liability for Data Breaches

2.1 You are solely responsible for the security of your User Data, your devices, your network, your browser, your accounts, and any location where you save or transmit exported files.

2.2 The Tool is delivered through a website hosted by GoDaddy and loads certain open-source software libraries and fonts from third-party content delivery networks. Sistered Financial does not control, and is not responsible for, the security, availability, or practices of GoDaddy, any content delivery network, your internet service provider, your browser, or any other third party.

2.3 You agree that Sistered Financial shall not be liable for, and you release Sistered Financial from, any claim arising from any unauthorized access to, disclosure of, loss of, or corruption of User Data, including any data leak, data breach, malware, phishing, or cyber incident, however caused, to the fullest extent permitted by law.

2.4 Do not enter information into the Tool that you are not authorized to use, or that is subject to confidentiality obligations you cannot meet in a browser-based environment.

*3. AIA-Style Forms Only; No AIA License or Affiliation

3.1 The Tool generates documents in an "AIA-style" format that resembles the general layout of the AIA Document G702® (Application and Certificate for Payment) and G703® (Continuation Sheet). The documents and exports produced by the Tool are formatted in G702 and G703 style ONLY.

3.2 The documents and exports produced by the Tool are notofficial AIA Contract Documents®, are notlicensed by, purchased from, or produced under any license with The American Institute of Architects ("AIA"), and do not contain AIA copyrighted text.

3.3 Sistered Financial is not affiliated with, sponsored by, or endorsed by The American Institute of Architects. AIA, AIA Contract Documents, G702, and G703 are trademarks or registered trademarks of The American Institute of Architects. These names are used solely to describe the general format of the documents and not to imply any affiliation, sponsorship, or endorsement.

3.4 Client acceptance is your responsibility. Before submitting any pay application generated by the Tool, you are solely responsible for confirming with your owner, client, general contractor, lender, architect, engineer, or any other recipient that:

· (a) an AIA-style pay application in G702/G703 format is acceptable;

· (b) the recipient will accept forms that are not official, licensed AIA documents; and

· (c) the format satisfies all requirements of your contract, subcontract, loan agreement, payment bond, or other governing documents.

3.5 Sistered Financial is not responsible for any rejected, delayed, reduced, or withheld payment, or any other consequence, resulting from a recipient's refusal to accept documents generated by the Tool.

4. No Professional Advice

4.1 The Tool is a general-purpose calculation and document-formatting aid. It does not provide, and nothing in the Tool or these Terms constitutes, accounting, tax, legal, financial, engineering, construction-management, or other professional advice.

4.2 Use of the Tool does not create an accountant-client, attorney-client, consultant-client, fiduciary, or other professional relationship between you and Sistered Financial. Any separate consulting services are governed only by a separate written engagement agreement signed by Sistered Financial.

4.3 You should consult a qualified attorney, accountant, or other professional regarding your contractual payment terms, retainage, lien rights, lien waivers, notarization requirements, sales and use tax, and revenue recognition.

5. User Responsible for Accuracy

5.1 You are solely responsible for the accuracy and completeness of all information you enter or upload, and for reviewing every calculation, total, percentage, retainage amount, change order, and figure on every document before you sign, notarize, submit, or rely on it.

5.2 Information imported from uploaded files, including prior pay application PDFs, is read automatically and may be incomplete or inaccurate. You must verify all imported information against your original records.

5.3 Calculations may be affected by rounding, browser behavior, software errors, or data-entry errors. Sistered Financial does not guarantee that any calculation, total, or document is accurate, complete, or error-free.

5.4 The contractor's certification and notary sections are provided for convenience only. You are solely responsible for the truthfulness of any certification you sign and for complying with all notarization, sworn-statement, and legal requirements that apply to your project.

6. Disclaimer of Warranties

THE TOOL AND ALL DOCUMENTS, EXPORTS, AND CONTENT IT GENERATES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, SISTERED FINANCIAL EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. SISTERED FINANCIAL DOES NOT WARRANT THAT THE TOOL WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR COMPATIBLE WITH YOUR DEVICES OR SOFTWARE, OR THAT ANY DEFECTS WILL BE CORRECTED.

7. Limitation of Liability

7.1 TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SISTERED FINANCIAL OR ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, SUCCESSORS, OR ASSIGNS (THE "SISTERED PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, PAYMENTS, RETAINAGE, DATA, BUSINESS, GOODWILL, OR CONTRACTS, OR ANY COST OF DELAY, FINANCING, OR SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE TOOL OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE SISTERED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE TOOL OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SISTERED FINANCIAL FOR ACCESS TO THE TOOL DURING THE THREE (3) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS (US $50).

7.3 Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In those jurisdictions, the exclusions and limitations above apply to the maximum extent permitted by law.

8. Indemnification

You agree to defend, indemnify, and hold harmless the Sistered Parties from and against any and all claims, demands, actions, losses, damages, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

· (a) your use of, or inability to use, the Tool;

· (b) any document or export you generate, sign, submit, or rely on;

· (c) any User Data, including its accuracy, security, loss, or disclosure;

· (d) any dispute with your owner, client, general contractor, subcontractor, lender, surety, architect, engineer, or other third party;

· (e) any claim by The American Institute of Architects or any other party related to your use of AIA-style documents; or

· (f) your violation of these Terms or any applicable law.

9. Third-Party Services

The Tool relies on third-party services, including GoDaddy website hosting and open-source libraries and fonts delivered from third-party networks. Sistered Financial is not responsible for the availability, performance, security, or changes of any third-party service. Your use of any third-party service is subject to that third party's own terms and policies. GoDaddy is not a party to these Terms and is not affiliated with Sistered Financial's Tool.

10. Permitted Use and Restrictions

10.1 Subject to these Terms [and payment of any applicable subscription fees], Sistered Financial grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to use the Tool for your internal business purposes.

10.2 You may not: (a) copy, reproduce, resell, redistribute, sublicense, or publicly display the Tool or its source code; (b) modify, reverse engineer, or create derivative works of the Tool; (c) share your access credentials or allow others to use your account; (d) remove or alter any notice or disclaimer; or (e) use the Tool for any unlawful, fraudulent, or misleading purpose, including submitting false pay applications or certifications.

10.3 The Tool, its design, code, and content are owned by Sistered Financial and protected by applicable intellectual property laws. All rights not expressly granted are reserved. You retain ownership of your User Data.

11. Subscriptions 

11.1 Access to the Tool may require a paid subscription. Subscription fees are billed in advance on a recurring monthly basis until canceled.

11.2 You may cancel at any time by emailing controller@sisteredfinancial.com. Cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable, and no refunds or credits are given for partial months or unused access.

11.3 Sistered Financial may change subscription pricing with at least thirty (30) days' notice. Continued use after a price change takes effect constitutes acceptance of the new price.

11.4 Sistered Financial may suspend or terminate access for non-payment or violation of these Terms.

12. Availability and Changes

Sistered Financial may modify, suspend, or discontinue the Tool, in whole or in part, at any time without notice or liability. We may update these Terms at any time by posting a revised version with a new "Last updated" date. Your continued use of the Tool after changes are posted constitutes acceptance of the revised Terms.

13. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. Any action arising out of or relating to these Terms or the Tool shall be brought exclusively in the state or federal courts located in York County, Pennsylvania, and you consent to the personal jurisdiction of those courts. To the fullest extent permitted by law, you waive any right to a jury trial and any right to participate in a class or representative action.

14. Time Limit to Bring Claims

To the fullest extent permitted by law, any claim arising out of or relating to the Tool or these Terms must be filed within one (1) year after the claim arises, or it is permanently barred.

15. General Provisions

15.1 Entire agreement. These Terms are the entire agreement between you and Sistered Financial regarding the Tool and supersede any prior understandings about it.

15.2 Severability. If any provision of these Terms is found unenforceable, it shall be enforced to the maximum extent permissible, and the remaining provisions remain in full force and effect.

15.3 No waiver. Failure to enforce any provision is not a waiver of that provision or any other right.

15.4 Assignment. You may not assign these Terms without our written consent. Sistered Financial may assign these Terms without restriction.

15.5 Survival. Sections 1 through 9 and 13 through 15 survive any termination of your access to the Tool.
